Terms of Service

1. Acceptance & Eligibility

By registering for an account, subscribing to the Service, or otherwise accessing Parish Glow, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a Parish, you represent and warrant that you have the legal and canonical authority to bind that Parish to these Terms (see §12 for specific notes on Catholic canonical authority).

The Service is accessible via our application at parishglow.com. These Terms apply to the Service regardless of which Parish Glow domain you use to access it.

2. The Service

In these Terms, we use a few specific definitions:

• Parish: The Catholic parish or comparable religious community that subscribes to the Service.
• Subscriber / Customer: The legal entity (the Parish, or its authorized representative on the Parish's behalf) that agrees to the Terms and is responsible for payment.
• Parish Administrator: The natural person at the Parish who manages Parish Glow on the Parish's behalf (e.g., the music director).
• Musician / Member: Any natural person whose personal data is processed through Parish Glow because they participate in the Parish's music ministry.
• Content: Anything Subscriber, Parish Administrator, or Musician uploads to or generates within the Service, including sheet music PDFs, audio reference files, lyrics, rosters, and scheduling assignments.
• Service: The Parish Glow software-as-a-service offering, including all features, APIs, and applications.

Parish Glow provides the Service as a neutral technology infrastructure provider. We give you the tools to manage your ministry, but you remain entirely responsible for how you use those tools and what Content you put into them.

3. Subscription, Billing & Auto-Renewal

Parish Glow is a business-to-business (B2B) software-as-a-service offered at a flat rate of $39 per month.

Continuous Service and Auto-Renewal: To ensure uninterrupted access to your ministry tools, your subscription will automatically renew each month. By providing your payment information and completing the checkout process, you provide your express affirmative consent to this continuous, auto-renewing charge. Your payment method will be billed $39 on a recurring monthly basis until you cancel.

Cancellation Symmetry (Click-to-Cancel): You may cancel your subscription at any time. In compliance with California AB-2863 and related consumer protection laws, you can cancel your subscription immediately and without obstruction directly within the Parish Glow web dashboard by navigating to Settings > Billing and clicking "Cancel Subscription." Cancellation will take effect at the end of your current paid billing cycle.

Notice of Changes: If we ever change the monthly fee for the Service, we will provide you with clear and conspicuous written notice via email at least 7 days, and no more than 30 days, prior to the fee change taking effect, along with explicit instructions on how to cancel your subscription if you do not agree to the new price.

4. Account, Access, Login

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Parish Administrators must ensure that access permissions are appropriately granted and revoked for Musicians within their Parish. You agree to notify us immediately at support@parishglow.com if you suspect any unauthorized access to your account.

5. Acceptable Use Policy + Content License

In plain English: We provide the digital filing cabinet, but you must own or license the music you put in it. If a publisher sues us because you uploaded unlicensed sheet music, you are responsible for paying the legal bills.

Parish Glow is a neutral infrastructure provider. We do not hold master platform licenses with copyright administrators for the music you upload. Therefore, as a condition of using the Service, Subscribers must strictly adhere to the following requirements regarding Content:

1. Publisher Licenses: You represent and warrant that you hold all required publisher licenses for all Content you upload to the Service. This includes, but is not limited to, active congregational, rehearsal, or reproduction licenses from OneLicense, CCLI, GIA direct licensing, OCP direct licensing, WLP/GIA mergers, and any applicable mechanical, synchronization, or performance licenses required for the specific sheet music, chord charts, or audio tracks you distribute to your Musicians.
2. Indemnification for Content: You agree to indemnify, defend, and hold harmless Parish Glow against any claim, demand, action, or proceeding arising from a third party (including any publisher, rights administrator, or licensing collective) related to Subscriber Content.
3. Private Storage Silos: You acknowledge that Parish Glow stores Content in per-parish private storage silos. We do not aggregate, share, or redistribute Subscriber Content outside of your specific Parish's authorized users.
4. License Expiration: You must cease use immediately and remove Content from the Service if your underlying publisher license for that Content is terminated, expires, or is otherwise invalidated.

We reserve the unilateral right to suspend access to the Service, remove specific Content, or terminate your account immediately and without liability upon receipt of a valid takedown notice from a copyright holder.

6. Privacy

Your privacy, and the privacy of your Musicians, is critically important to us. Our data processing practices, including our obligations under the California Consumer Privacy Act (CCPA) and our use of sub-processors, are detailed in our Privacy Policy. By using the Service, you acknowledge that you have read and understand our data practices. For more information on how we handle Parish Administrator and Musician data, please see Privacy §1 and Privacy §2.

7. Termination & Data Export

You may terminate your subscription at any time (see §3). Upon termination or cancellation of your subscription, you will retain access to the Service through the end of your current paid billing cycle.

Data Export and Deletion: Following the end of your subscription, you will have a strictly defined thirty (30) day grace period to independently export your roster, scheduling history, and other Content via our self-service export tools. Exports will be provided in machine-readable formats (JSON or CSV) in compliance with CCPA data portability requirements. After this 30-day window expires, Parish Glow reserves the right to systematically and securely delete your data in accordance with our data minimization policies.

8. Warranty Disclaimers

In plain English: We try our best to keep the software running smoothly, but we provide it "as is" without any absolute guarantees.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PARISH GLOW EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PARISH GLOW, ITS FOUNDER, OFFICERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

IN NO EVENT SHALL PARISH GLOW'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU TO PARISH GLOW IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (WHICH, AT THE STANDARD SUBSCRIPTION RATE, IS CAPPED AT $468).

10. Indemnification

In addition to the specific Content indemnification in §5, you agree to indemnify, defend, and hold harmless Parish Glow and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your violation of these Terms or your misuse of the Service.

11. Dispute Resolution & Arbitration

In plain English: If we have a legal disagreement, we agree to resolve it through standard, individual arbitration rather than a lawsuit in court, except for certain public injunction claims.

Mandatory Bilateral Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by bilateral, individual arbitration in Los Angeles County, California before a single arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures.

Class Action Waiver: You and Parish Glow agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. Mass arbitration protocols or batching procedures shall not apply.

Public Injunctive Relief Carve-Out: Notwithstanding the foregoing, claims seeking public injunctive relief under California consumer protection statutes are expressly carved out of this arbitration mandate and may be brought in a civil court of competent jurisdiction.

Severability: If any portion of this dispute resolution section (including the class action waiver) is found to be unenforceable or unconscionable by a court of competent jurisdiction, the offending provision shall be severed, and the remainder of the dispute shall be litigated entirely in a designated civil court in Los Angeles County, California.

12. Religious-Organization Service Notes

Because Parish Glow serves Catholic parishes, we recognize that our Subscribers operate under both civil law and Catholic Canon Law. However, this is a standard commercial software agreement governed by the civil laws of the State of California.

Representation of Authority and Capacity: Under Canon 1281, routine operational expenses typically fall under "ordinary administration." By subscribing to the Service, you represent and warrant that you have obtained all necessary ecclesiastical, canonical, and civil permissions required to execute this agreement and to fulfill all obligations within it.

Crucially, you represent and warrant that you possess the authority to fulfill the indemnification obligations outlined in §5 and §10 of these Terms, notwithstanding any internal restrictions (such as Canon 1288) regarding the initiation or contestation of legal proceedings by a public juridic person. Any failure to indemnify Parish Glow due to internal church law constraints shall constitute a material breach of this fundamental warranty.

13. Changes to These Terms

We may modify these Terms from time to time. If we make material changes—such as adjusting the subscription price or altering your core legal rights—we will provide you with clear and conspicuous written notice via email at least 7 days, and no more than 30 days, prior to the changes taking effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree to the changes, you must cancel your subscription before the changes take effect.
